I am the additional director of an Indian Pvt Ltd co. I want to get appointed myself as Director i.e., just change in designation, due to some of the previliges given to the position of Director in the Articles. Can I get appointed as Director by conducting a Board Meeting or should they conduct an AGM or EGM? Whether ordinary or special resoultion to be passed?

I have another doubt whether that any directors appointed between 2 AGMs have to be compulsorily appointed as Additional Directors only? Can't we appoint Directors between 2 AGMs for a Pvt Ltd Co.?

A is a WTD in Public Ltd. listed Company and it is proposed to appoint him as MD in subsidiary company i.e. Private Ltd subsidiary of public ltd.

A foreign company which plans to start its operation in India has transferred an amount(with prior approval and filing of necessary forms) as advance share capital to his Indian counterpart.

What would be the consequences if the money is not utiliized within the mandatory period of 180 days? Should the money be returned back and any forms to be filed for this.

I have a query that whether all the direcotrs may be executive directors in a unlisted public Company.

The company has only three directors out of which one is MD, one is WTD and one is non executive till now. Now the Company want to appoint the non executive director as wtd. is it fine to appoint him as wtd.
