05 March 2011 can any one tell me what's the provision of Co. act if any Director died before expiry of his period or how to prepare the minutes of Board Meeting in which notice of his dead shall be considered??????

There are two Directors at present.

06 March 2011 Please refer to Table A Clause 75 of the Companies Act which read as follows:

The continuing directors may act notwithstanding any vacancy in the Board; but, if and so long as their number is reduced below the quorum fixed by the Act for a meeting of the Board, the continuing directors or director may act for the purpose of increasing the number of directors to that fixed for the quorum, or of summoning a general meeting of the company, but for no other purpose.

IF anything contrary to above is not contained in the articles of the company then the remaining director will appoint one person as director and then usual business of the company can be carried.
