please answer my query

we have previosly issued convertable preference shares at premium.
now we have converted in to equity shares.
My question is while converting of p.shares into equity shares should i take premium of earlier issue to convert p.shares to equity shares?

Change of Director


My question is

if a director desire to resign, and he gives his resignation letter to the baord on 25.05.2011 ( with effect from 25.05.11)

when the board meeting will be held on
1 - on 25.05.2011 or after or before 25.05.2011
2 - can board meeting be held on 30.05.2011

is it necessary to hold board meeting on the same date (25.05.2011) or not plz help with Board resolution format

Form 25C in case of Pvt Co...

1. Whether in case of Pvt Co, Form 25C(Appoint of New MD) is not mandatory???

2.In Pvt Co, CAN MD be appoint(By BOD & As per Provision of AoA) by only filed Form 32 and 23??

3.Or Only Form 32 is sufficient for Appoint of MD??

We have applied for name availability with a proposed authorised capital of Rs.2 crore. Now it is decided to increase the authorised capital to Rs.5 crores.Can we file the incorporation documents with Rs.5 crores or is it necessary that we have to go ahead with the proposed capital mentioned in the application for name availability?

Can any body guide me on following issue?
ISSUE: Company ABC Ltd (Unlisted Company) having a statutory auditor (SA) XY & Co but now the company ABC Ltd wants to appoint MN & Co Chartered accountant to appoint as Joint auditor in between two AGM with same role and responsibility of XY & Co (SA)
My query regarding above issue are
1. Can we appoint MN & Co Chartered accountant as Joint auditor in BM (proposal)and approved in EGM ?
2. If yes, then how? bcoz normally auditors are appointed in AGM only except in case of casual vacancy(In casual vacancy board proposal and approved by EGM)
3. If no, why.

Challan Payment

I have filed form 1 along with form 18 & form 32 and payment option choose through challan.

now 2 challan (GAR 7) generated one for efiling and another one for stamp duty.

now i want to pay efiling charges (which is more than 50,000.00) through challan and stamp duty (which is less than 50,000.00) through credit card.

can i pay stamp duty through credit card or e-banking. if yes, than please explained procedure?
