Where the proposed allottee in pvt ltd company is a person of nationality of USA then what is the procedure??

A listed co. has decided to pass certain resolution to be passed by way of postal ballot.

Therefore, is it mandatory to intimate ROC within a week from the date of passing of board resolution for postal ballot process?

Suppose Mr. X obtained approved DIN in December,2011 but at that time he did not hold any position of director of company, so provisions of DIN 2 and DIN 3 are not applicable(I think so...plz guide). In Feb,2012 he was appointed as a director in Private Limited Company by Filing Form 32. Can now he has to intimate his company by filing form DIN 2 or not?

Can A limited company give guarantee to the loan given by a bank to a partnership firm if that limited company holds 50% holding in that firm. ( Is CG Approval required in this case for the company to give guarantee as per section 295 )

A company declared interim dividend assuming profit but ended with a loss. Previous years were also loss. Now what will be the consequence of not paying the dividend and the liability of the Directors in the said situation?

is it necessary for every directors to filled din 4 even they have submit their pan before because there are some mismatch in their din forms viz. applicant name , date of birth etc
So while filling a din 4 there is error that income tax pan or voters id card or passport no or driving license no as entered in the frm is already existing in the database against din. the form form cannot be filled.

So please tell me what to do as we have got a mail from mca to file din 4 for the resp. din .

A director of our company has been given a disclosure that he has resigned from a company which was mentioned in the general disclosure placed by him at the begging of the year
My Query is that whether resignation from the mentioned company shall entered in the Register of Disclosure of Director Interest 299 i.e. "Register of Contracts, Companies & Firm in which director interested U/s 301
