Can someone advise if it is ok for a Pvt.Ltd.Company to accept a loan(account payee cheque only) from one of its directors ?

A Pvt. Company holds 100 % shares in its subsidiary. Except one share all the shares are held by the Company and one is held by its nominee. Subsequently the nominee changes.

Please advice whether there is need to execute transfer deed and print share certificate for the new nominee?

In my company, the managerial remuneration falls under the category of Part B of Part II (4800000 p.a or 4,00,000 per month).

Kindly tell me whether prior approval by special resolution is required for paying the remuneration for the year 2011-2012 or we can pass the special resolution on the ensuing AGM to be held on 2012 -2013.

I want to know that whether it is required to file FORM-III (Form of return to be filed with Registrar) or it is sufficient to File Form-22B,& Attached FORM-I & FORM-II with it, because in my knowledge Form-22B has taken palace & now there is no need to file Form-III with Registrar.
& Secondly if we file Form-III, instead of file Form-22B to the Registrar then whether it is good in off or we have to file Form-22B & not required to file Form-III.

If IPO is oversubscribe then how to allot share on pro-rata allotment on the basis of category eg 100,200,300 etc.And what is marketable/trade able lot?Is this is specified in prospectus that applicants shall apply in marketable lots.
