Loan of the company is defaulted and become NPA. Is the bank has any say in the appointment of MD

For increase in remuneration of Managing Director of Public Company, the Board contains 5 directors out of which 3 are interested including Managing Directors.
How can we get approval of Board of Directors for such increment in remuneration.

A power based company filed fcgpr with RBI.

The RBI ordered for a revised cs certificate stating that the issue of shares was as per the provisions of Electricity Act 2003.

How far is the Act applicable with regard to FDI.

With regards to Buyback of Shares under Companies Act, 1956 kindly let us know that can the private limited companies buyback the shares if they are having sufficient free reserves but insufficient cash???? and also let us know on what grounds can buyback be rejected by the concerned authorities?

An unlisted public company has accepted inter corporate deposit from other company in the year 2007 and insted of repayment of the deposit amount the company wants the shares of the company

Is there any restriction in the Companies Act regarding the matter above and if not then Board Resolution in both the Companies will be enough
