Sale of shares by a foreign entity

X is a foreign company holding shares of A limited.B wants to purchasw shAres from X. Please clarify the approval required. Thanks

Sir,

Please guide on below matter.

My company listed on The Bombay Stock Exchange had forfeited certain shares after complying all the requirements & had informed the exchange.

Now the company has re-issued the forfeited shares to its existing shareholders after complying with pricing rules as laid down in Preferential issue guidelines.

On making an application, for listing of the said re-issued shares, the stock exchange says that the company ought to have passed a share holder's resolution in a General meeting.

I am of the opinion that as the shares are offered to existing shareholders of the company, shareholders approval is not required.

Also clause 23(a) of the listing agreement states as follows,


The Company agrees - - -
(a) to issue or offer in the first instance all shares (including forfeited shares, unless the Exchange otherwise agrees), securities, rights, privileges and benefits to subscribe to pro rata to the equity shareholders of the Company unless the shareholders in the general meeting decide otherwise.


Please guide.

Satisfaction of charge

Dear Expert,

A charges has been satisfied 5 years ago but till now form-8 has not been filed. Please tell me the penalty to be paid in respect of same? Is there any problem if we file the same now or any other option available with us?

Plz support your ans with relevant provisions or case law..

Moa & aoa

Dear all,

my question is how to prepare actual MOA & AOA copies [original and in duplicate]
I mean how to arrange the documents and what r the requirements?
is this sequence right for original copy?
1 cover page
2 COI [color print]
3 MOA stamp acknowledgement [color print]
4 Actual MOA
5 original subscription table of MOA
6 AOA acknowledgement [color print]
7 actual AOA
8 original subscription table of AOA

and for other copies everything in duplicate. is it right?

We sold car at Rs. 210000 and its opening WDV is Rs. 209897. What would be depriciation according to Companies Act 1956.

Starting up a company

Sir,
to start a pvt ltd company there is a need of minimum authorized capital of INR 100000.
Does this mean INR 100000 as cash.
Should I keep this much money in my hand or at bank to set up a company?
Is it a must for register under shop and establishment Act as part of registering a company if the main object is to provide consultancy services?
