03 August 2024 When preparing the Memorandum of Association (MOA) and Articles of Association (AOA) for a company, it is important to follow a structured format and sequence to ensure that the documents are properly organized and compliant with regulatory requirements. Here’s a detailed guide on how to prepare the MOA and AOA copies, both original and in duplicate:

### **Sequence for Preparing Original and Duplicate Copies**

#### **Original Copy:**

1. **Cover Page:**
- **Purpose:** To provide a clear and professional presentation of the document.
- **Content:** Include the name of the company, type of document (MOA/ AOA), and the date.

2. **Certificate of Incorporation (COI):**
- **Purpose:** To show that the company has been legally incorporated.
- **Content:** Include a color print of the COI issued by the Registrar of Companies (ROC).

3. **MOA Stamp Acknowledgement:**
- **Purpose:** To acknowledge the stamp duty payment for the MOA.
- **Content:** Include a color print of the stamp duty acknowledgment for the MOA.

4. **Actual MOA:**
- **Purpose:** This is the main document outlining the company's objectives and scope of business.
- **Content:** The full text of the MOA, including all clauses and the original subscription table.

5. **Original Subscription Table of MOA:**
- **Purpose:** To record the details of the initial subscribers to the MOA.
- **Content:** The subscription table should be signed by the subscribers and include their names, addresses, and number of shares taken.

6. **AOA Acknowledgement:**
- **Purpose:** To acknowledge the receipt of the AOA.
- **Content:** Include a color print of the acknowledgment for the AOA.

7. **Actual AOA:**
- **Purpose:** This document outlines the rules and regulations for the company's internal management.
- **Content:** The full text of the AOA, including all clauses and the original subscription table.

8. **Original Subscription Table of AOA:**
- **Purpose:** To record the details of the initial subscribers to the AOA.
- **Content:** The subscription table should be signed by the subscribers and include their names and details.

#### **Duplicate Copies:**

1. **Cover Page:**
- Similar to the original copy, including the company name and document type.

2. **COI:**
- Provide a duplicate color print of the COI.

3. **MOA Stamp Acknowledgement:**
- Provide a duplicate color print of the MOA stamp duty acknowledgment.

4. **Actual MOA:**
- Include the full text of the MOA in the duplicate copy.

5. **Original Subscription Table of MOA:**
- Provide a duplicate copy of the subscription table of the MOA.

6. **AOA Acknowledgement:**
- Provide a duplicate color print of the AOA acknowledgment.

7. **Actual AOA:**
- Include the full text of the AOA in the duplicate copy.

8. **Original Subscription Table of AOA:**
- Provide a duplicate copy of the subscription table of the AOA.

### **Additional Tips:**

- **Page Numbering:** Ensure all pages are numbered for easy reference.
- **Signatures:** The original subscription tables should be signed by the subscribers.
- **Certification:** Ensure that all copies are correctly certified if required by regulatory bodies.
- **Formatting:** Maintain a consistent format for both the original and duplicate copies, ensuring clarity and legibility.

### **Summary:**

Your proposed sequence for the original copy is mostly correct. Ensure that the original and duplicate copies follow the same structure for consistency. Pay attention to regulatory requirements and ensure all documents are properly signed and certified where necessary. Consulting with a legal professional or company secretary can also help in ensuring compliance with local regulations and practices.
