We are registering a new Private Company Limited by Shares.
my queries are:
1) is it necessary to apply sign of Diector(Subscriber)/round seal of the Company on the each page/cover-page/Certificate of Incorporation on the Memorandum & Articles of Association after prining sets of MoA & Aoa (not while filing Form 1 but after Incorporation of the Company, when we print few no. of sets of MoA & AoA.)??

2) What is the Common practice about original Subscription tables? we need to keep it our selves (with promoters original copy of MoA AoA) or with our CS?

3) is It necessary to include Acknowledgement of E Stamp duty payment in each set of MoA & AoA???

Is the XBRL filing is also mandatory for the foreign companies which have their liaison office and Branch office in India but incorporated outside India. and if yes then which form will required to file.. because e form -52 in xbrl format is not available?/

What are the provisions applicable?
Sec 56(2)(viib) comes into effect only after April 2013. and RBI master circular on FDI applies only for investment into Proprieties and Partnerships. What about Companies?
And does the 180days share allotment circular apply?

paid up capital 70000 share of 10 each fully paid

then on 27/05/2011 co. Issued 48000 share @ 5 paid up
and that share ON 20/10/2011 forfeited

now, company wants to issue 80000 share at 5 paid up (fresh issue) ON 01/01/2012

so my question is what should be issued and paid up capital after last allotment which were
pleas pleas reply...................

Can a private limited Company distribute dividend out of the balance in Profit & Loss account in the Balance sheet?
