09 July 2012 how to write a resolution for getting online banking facility for Mr.X( new employee)replacing an old employee.

Old employee was authorised signatory. Already submitted new resolution to change the authorised signatory, but now we have to avail net banking facility to new employee.

10 July 2012 EXTRACTS OF THE MINUTES OF MEETING OF THE BOARD OF DIRECTORS OF ______________ HELD ON THE 13th DAY OF JULY, 2011 AT _____________NEW DELHI- 110 001

The Chairman explained the Board the benefits of availing Net Banking facility provided by HDFC Bank Limited in respect of the Current Account bearing no. __________ with its branch at Surya Kiran Building, K.G Marg, New Delhi-110001. The Board after discussions decided to apply for the Net Banking facility and passed the following Resolution:

“RESOLVED THAT the consent of the Board be and is hereby given for availing the Net Banking facility in respect of a Current Account no. _________________ of the Company maintained with HDFC Bank Ltd, Surya Kiran Building, K.G Marg, New Delhi-110001.

RESOLVED FURTHER THAT Mr. ________, Director of the company be and is hereby authorised to apply to HDFC Bank Limited for and on behalf of the company and to operate the aforesaid account through Net Banking.

RESOLVED FURTHER THAT Mr. __________, Director of the company be and is hereby authorised to furnish a copy of the aforesaid resolution to HDFC Bank Limited and to do all such acts, deeds and things as may be necessary to give effect to this resolution.”
