there is 1st year of company incorporation & there is not held any AGM is it ok to appoint CA at 1st AGM. co. incorporated June 2011. pls reply

As a normal practice form 7 B is filed for transfer of shares. my query is if the form 7 B is lost then the section 108 (1) gives the privilege to get a declaration with the respective stamp duty affixed from the parties that the form has been lost and to consider the transfer.

could any one provide me the format of that declaration that can be used in the place of form 7 B.

if the director's of two companies are same then what is relationship between those companies... whether relationship is holding-subsidiary or not

We have appointed new Auditors in between two AGMs all the required procedure was followed like GM & all.

My query is now; After 22/07/12 Form 23B is also chargeable.
is it necessary to file 23B in this case (Auditor not appointed at AGM but in between two AGMs)?
Will Z999999 practice discontinued? and if yes then now we have to file 23B also for new Co. (appt. @ BoD meeting)

Company A is a private Company, wants to purchase shares of Company B (Public Company), However after purchase of Shares Company A Holds Shares of Company B more than 51%. Hence now the Company A Becomes the Holding of Company B. please clarify what will be the Consequences if Company A Becomes Holding Company of B with reference of Section if possible.

Can i issue shares at different prices is der any compliance to be adhered:

Issued in July @Rs 500 therefore 490 premium.
Second issue made in September @ 450 at premium of Rs 440. Is such issue allowed

1) My concern is related to understanding the resposnibility in case a transferor submits his a) share certificates along with b) transfer deeds executed with 100 people for 300,000shares to the company under 112 of Co. act.

2) Now the company completes the certification, keeps the share certifcates n returns the transfer deed to transferor with word'certification lodged'.

transferor gives those deeds to 100 transferees n brings its holding to 0 in his books for the company. If the transferee does not submit back those deeds with co., whose responsibily does it become for registration.

Dear Sir/ Mam

Is there any restriction on the number of joint holders that can register their names on purachse of a share or it could be any number of them.

Moreover, it the number of joint holders are 6, do we have to mention all the names on the share certificate to be issued?
