Unlisted cos' pref. allot rules

18 July 2012 Incase Unlisted Public company allotes the share under ESOP then in such case Unlisted Public Companies (Prefrencial Allotement) Rules 2003 are applicable to ESOP or not? Provisions of Sec. 81(1A) will be applicable?
Pls explain.

21 July 2012 Only ESOP guidelines will be applicable and all such special resolutions shall be passed as per such guildelines no furhter rules shall be allowed neither section 81(1A) shall be effective.
