I M a manager in the Bank , I m going to Fund a doctor , as per Him , they have started one Pvt Ltd Co as a SPV , and booking entire receipts in the Pvt Ltd Co, and in return receiving Professional Income from The company . I want to know , is there any restriction in CompaniesAct to Fund Prof fees or any other fees to Directors of The Company?
Is attestation of documents from Indian embassy is mandatory for incorporation of 100% subsidiary company India? or we can notaries documents instead of attestation?
Please tell me the is there is requirement for the preparation of Profit & loss Account as per the Revised Schedule VI for company which had not started the commercial activity since its incorporation. in previous year we had show all the expense as pre-operative Expense.

Is it mandatory to have a provision in the articles of the unlisted company for demat of shares ?

An Indian company wants to open its headquarters in singapore by incorporating a new company there, since, they are getting foreign funding. Is it possible to transfer the shares of the existing shareholders in Indian entity to Singapore entity if the singapore entity has to be a parent company and are there any RBI regulations to follow in repatriating the funds from singapore to indian entity.
