I need format of CC for nely incorporated company of 2011, its first year of its cc & annual filling.

We have passed a Board Resolution and also entered into an agreement for appointment of New M.D.

We have filed form 23 for registering the resolution for appt of M.D with ROC within time.

Is it also necessary to register the agreement with M.D with ROC in Form 23? We have send abstract of agreement to shareholders u/s 302.

If we don't file form 23 for the agreement but have filed form 23 for the resolution only is it a default under section 192 ?

Our Company is a subsidiary co of New Zealand Co.. All shareholders(directors) are in Nea Zealand. Can AGM be held in New Zealand?

Our company registered office is in Bangalore.

One of my clients formed a new company & received FDI from outside india. Now shares have to be issued against FDI at fair value as per RBI norms.

My problem is how to determine the fair value since the company is new & 90% working capital is received from outside india as FDI. Should i allot them shares at the same value as we have allotted to other share holders i. e rs. 100.

our company is listed on BSE and it had already close its register of members for the AGM held on 29.09.2012 and complied with conditions u/s 154 of the Companies Act, 1956.

Now the company wants to conduct EGM for approving preferential to strategic investors. now my question is, do the company again required to close its register of members.

Such requirement is not given under ICDR regulation.
