Loan from director Will come under AS18 (related party transtion ) and in CARO ?

Hi,

There is Public Limited company in which a relative of Director to be appoint as Statutory Auditor in the AGM of 2012 for the financial year 2012-13.

Also a relative of Auditors is having capital interest in the company in which Auditors going to be appointed.

Kindly suggest the appropriate provision of the Companies Act,1956 applicable for the said case.

In case of any Existing private company if want to appoint any person as director, we must have to choose category either promoter, independent or professional.
But in case of private co. we can't choose independent so which category we must have to choose? Please clarify with reason.

What are inter corporate borrowings ???
A pvt. limited co. engaged in manufacturing activity takes an unsecured loan from a pvt. ltd. co. engaged in financial services.Will it come under the abovementioned inter corporate borrowings ????

Is it not possible to transfer the shares of the Private company by a member to any other member or outsider. Private company has a restriction on transfer of shares. Can some one please explain a little bit in detail for everyones benefit. Thanks in advance.

A Private Limited company calls an AGM one month after the due date. Wish to know the consequences for default in holding AGM.
Also suggest the easy remedy for this default.

Dear Sir/Madam,

Recently we have filled Form 2, in the Form some information by human error goes wrong,though the List of Allottess and other information is correct. And in company master data the issued capital is also right.The Form has been filled and since it is in STP Mode, so it is approvd also.

Is there any way out to correct the Form,that is say filling of revised form or any other way out.

And in case we will file revised form with the same information as we filled in earlier Form,i have a doubt that it will increase the capital.

Kindly help in this regard. Since i am fresher i need a help of some seniors.

In Form 23B last years' date of AGM is Entered or not?
& In Form 20B,23AC,23ACA which date of AGM is Entered, As per 23B or current Year AGM date?
