An Independent Director in a listed company is a technical person and becomes in charge of production in it. He has lost his independence and hence wants to become a regular director.

We can not file Form 32 with MCA as there is no provision for this kind of change.

Pl. suggest the procedure so that he does not have to resign as Independent Director and join the company back as regular director.

Whether Stamp Duty is required to paid for normalizing a dormant company?

Who can witness the subscribers list for moa and aoa signed by directors. Is CA or CS is mandatory. Also what is wording he needs to write while witnessing.

i had uploaded Form 5 and 23 for increse in authorised share capital for which query is raised by roc is as following

'e'form date and resolution date not tally, copy of MOA & AOA without foot note. Form 67 (Addendum) should be filed by 05/01/2013 failing which the eForm shall be treated as invalid and shall not be taken on record. (Please refer Regulation 17 of the Companies Regulation, 1956)

In the above query we are unable to understand what is Foot note ?

While filling form 1 for pvt ltd company of authorised capital of 1 lacs only in haryana.

It is taking auto fill stamp duty of 15,60,60 for form 1 , moa, aoa resepectfully. But my query is that It also asks stamp duty details to be filled in others. What is to mentioned in OTHERS.

I want to know the provision related to appointment of director, in case of appointment of director the date of consent letter of director or date of board resolution are to be same or not.
For example the date of board resolution is 03rd december, 2012 and the date of consent letter is 06th december, 2012, is it right or not?
