Stamp duty for normalizing a dormant company

06 December 2012 Whether Stamp Duty is required to paid for normalizing a dormant company?

For this, you have only filed the pending Annual Filing with ROC along with director update by filing DIN-3.

No need of stamp duty.

We were about to file Form 61 for changing the status of company from dormant to normal.I had doubt whether stamp duty is required to be paid for this?

06 December 2012 No we are in the process of filing all the pending filings.Before that, we need to file Form 61 for changing the status of the company.

If you file all pending filing with ROC then it automatically change the status of your company.

06 December 2012 If master data exhibits status as 'dormant' ,necessarily ,company has to file e-form 61 first. After its approval, status will be changed to 'active in progress'. Then the company has to file all the pending returns with in 21 days from the date of the aforesaid approval. If complied with, the status will be changed to 'active' on approval of all the e-forms filed.
No need to pay stamp duty except for the affidavit in support of the application to be attached with the e-form 61. However, normal as well as additional filing fee ,as per schedule X of the Companies Act,1956 ,has to be paid while e-filing the pending forms.
