Regarding converting from Loan to Equity Shares

Hello Sir

One of my clients has loaned Small Scale Undertaking which is a private ltd co..
Now Company wants to convert the loan to shares

Can you tell me what will be the impact of this transactions ?

According to me,at the time of liquidation,chances are that my client can loose all the money

Being a minority shareholder he might not have any say in the managment

What are the questions that i should ask and what are the conditions that my client should put to safeguard his interest from Companies point of view

Que.A and B orally to carry on a partnership buisness at will &commence business also.After one year A requests B to execute a formal partnership in writing which refuses.Can A get specific performance in this case?

Is it necessary that the person having DIN, must be the director of the company??

Actualy one of my client is having DIN but when i look for the directors name of that company on the MCA site, he was not shown as a director.....

Please state, if any concern do not have any manufacturing unit, but numbers of their employee cross the limit of 20 people, than wat ESI act applicable on that or not, also if they have the different branch in whole of India, than I the ESI deduction made & how the employee gets the benefits of ESI ? PROPRIETORY BUSINESS REGISTRATION

Dear sir
What is the procedure of formation of proprietory business.Is it registered anywhere for his legal status.
Can bank a/c open in the name of pro. business name, if yes whats the requirment.
