Reverse charge on manpower supply

Sir,
If a company appoints an individual as a consultant and there is no agency between them. The company has directly contracted with the person. The person work under the superintendence or control of the company. Is the company would attract service tax under reverse charge mechanism under 'Supply of Manpower' services

will there be any change in the ipcc auditing subject for nov 2014 exam due to change in companies act. if yes then the study material provided by icai will be changed. so from where to study for auditing subject.
