06 November 2011 I incorporated a section 25 company will you please suggest me what type of resolution we have to pass in initial level.plz suggest a format too.

09 November 2011 Before incorporation there is no existent of the company so how could you pass resolution, please clarify the question....please check the following.....

Resolved That pursuant to Sec 25 of the of the Companies Act 1956 and the provision of the AOA of the Company Board of Director of the Company hereby decided to register as Section 25 Company.

Resolved Further That Mr.......... and Mr....... Director of the Company hereby authorized to sign the all forms required on behalf of the Company.

Resolved Further That Mr......... Company Seretary of the company hereby authorized to file all the corresponding with the ROC.
