if a company has removed a auditor in a board meeting and appointed new auditor in an egm.& the auditor so removed has not given his consent in the removal???? what legal provisions will apply on the company??

Company cannot remove the Auditors before the expiry of his term in the Board Meeting.
This requires the Consent of Shareholders by way of Ordinary Resolution which is subject to the approval of Central Government.
