05 August 2014 A company having two directors A and B, out of which Director B is not cooperating. Now shareholder having 42% shareholding wants to appoint director. what will be the procedure for appointment of director at the requisition of member?

05 August 2014 As per my opinion for appointment of new director board meeting is required even for calling general meeting.

You are advised to go through section 100 of Companies Act, 2013 for holding of EGM.
