Appointment of director filling the casual vacancy

11 August 2012 Since no specific power is required for appoimtment of director filling casual vacancy undr articles. However, if articles provide the manner of filling the vacancy ,it should be filled as the articles required.
Does it mean that casual vacancy can be filled by passing circular resolution.?
Plz help...

You can not appoint director under section 262 by circulation because it will only be appointed in Board Meeting.
