X , who is not a shareholder in a company sent a notice to the company of his candidature for the office of director in the place of a retiring director at the ensuring annual general meeting of the company. The same company received another notice from Y, a member, holding only one share signifying his intention to propose the candidate of Z for the office of director in place of retiring director. As a secretary of the company how will you deal with this notice ? can any member present at meeting propose the aforementioned proposals for the consideration at the meeting
Yes, section 257 given a right to any person or member to appoint a person which he want to appoint or any person who stand as candidate to appoint as director in company.
After receiving the written notice it will send the same to all members of the company. At shareholders meeting any shareholders can propose the aforementioned resolution for appointment of a person as director other than retiring director.
At general meeting they only propose the resolution and not to the candidature, because every members has not submitted candidature for appointment of director with a fee of Rs. 500/-.
