17 March 2010 I would like to know the exact procedure for the pvt ltd company in appointing statutory auditors other than the existing auditors.

Please let me know all the other compliances which COMPANY as well as new auditors should duly comply relating to their appointment.

Details :
1.XYZ Co. has not filed nor audited any books of accounts since inception of the company.

2.There has been no AGM held.

17 March 2010 It seems to be a case of serious non-compliances by the Company. Firstly, get the old records in order. File all the returns with the ROC as may be required till date.

For getting a new auditor appionted, request the existing auditor to give a letter showing his inability / disinterest to be re-appointed. At the AGM, appoint some other Statutory Auditor.

i would like to add tht company is defunct.
and what are the procedures i.e. notices , resolutions etc which needs to be passed by pvt. ltd company for an appointment of new auditors.

17 March 2010 The fact that the company is defunct will not make any change in the process.

Firstly, you should have a letter from the existing auditor as stated in my first reply.

Then, the Board has to decide on appointing new auditors.

Then, in the AGM the new auditors are to be appointed.
