i want appoint a director in listed company.he is also held .80% share in the company. please inform what are the disclosure required to give to various authority.

Hi
If you are listed company then check in which sector you are belonging, and any prior approval is required from such authority or not.
If you are appointing then following point should kept in mind:
1. Consent letter for appointment of director.
2. Form DD-A from director
3. Disclosure of Interest.
4. DIN no.
After appointment, please give the details to following authority:
1. Intimate to Stock exchange about appointment.
2. File Details of director in specific format in excel to Director database as per clause 49 of listing agreement
3. Mention the details of appointed directors in Annual Report for that financial year.
4.File Form-32 with ROC
