Additional director not regularieses in agm

26 July 2012 Hi Experts, if we dont want to regularises the additional Director in the Annual General Meeting than whether we need to insert the resolution for his regularisation in the notice of AGM or nothing need to be explian????

There is no need to insert a resolution for regularization. You only file Form-32 of his/her vacate of office. It is not mandatory to regularise any additional directors.

26 July 2012 If you don't want to regularize additional director, nothing is required to be inserted in AGM notice.

27 July 2012 If the Company dont want to regularise the Additional Director. Nothing is to be mentioned in the Notice, just file form 32 for his removal as the tenure of Additional Director automatically ceased on the date of AGM.
