If I purchase goods from a second stage dealer and sells it to a manufacturer without taking the possession of the goods i.e. transit sale then can the manufacturer take the modvat of the excise duty pass on by the said second stage dealer.

Yes, manufacturer can take the cenvat credit on invoice issued upto second stage dealer.
