24 June 2015 Can a managing director as a shareholder of the company vote at the general meeting for a resolution passing for fixing his remuneration.
Kindly guide us along with the section.

25 June 2015 As per recent amendment vide notification dated 05.06.2015, a director of a private company being an interested director u/s 184 can now participate in the Board Meeting where any contract, transaction or arrangement in which he is interested is to be discussed or approved provided he discloses his interest, before he so participate in the meeting.
