23 March 2015 Dear Experts,

Please answer me..

25 July 2025 Hey! About your urgent question on the **share transfer deed**:

Generally, **one transfer deed covers the transfer from one transferor to one transferee only**.

So, if Mr. A is transferring shares to **two different persons (Mr. B and Mr. C)**, you should ideally use **two separate transfer deeds** โ€” one for Mr. A โ†’ Mr. B and another for Mr. A โ†’ Mr. C.

---

**Why?**

* The standard **SH-4 form** (Share Transfer Form under Companies Act, 2013) is designed for a single transferor and a single transferee.
* Putting multiple transferees on the same form may cause confusion and could be rejected by the companyโ€™s registrar or ROC.

---

### What you can do:

* Use **two separate forms SH-4** for the two transfers.
* Each form will specify the number of shares being transferred to that particular transferee.

---

If you want, I can help you draft the SH-4 form details for each transfer separately. Would that help?
