26 August 2014 Can anyone tell me that if we take note on appointment of KMPs in Board Meeting then we have to file MGT-14 only or MR-1 also.
its urgent pls

27 August 2014 yes u require to filr these.two forms
mr 1 For kmp designation
mgt 14 bcoz as per section 179(3)

But in our company CFO & CS is same person and when we file MR-1 for KMPs it is asking for DIR-12 also.
Bt DIR-12 is not accepting CFO & CS as same person as it is asking for PAN No.

What forms to file for appointment of KMPs (Key Managerial Personnel)?
MGT-14: Yes, mandatory to file for board resolutions as per Section 179(3) of Companies Act.

MR-1: Required to notify ROC about the appointment/designation of KMPs like CEO, CFO, CS, Managing Director, etc.

About your specific issue with CFO & CS being the same person:
DIR-12 is meant for appointment or resignation of Directors only.

CFO is NOT a Director unless separately appointed as one.

CS (Company Secretary) can be a KMP but not necessarily a Director either.

So, when filing MR-1 for KMPs, if you mention CFO and CS, the system asks for DIR-12 because it expects Director appointments. But CFO and CS don't need DIR-12 unless they are also Directors.

What to do?
For CS appointment, if the CS is also a Director, file DIR-12 for Director appointment and MR-1 for KMP designation.

For CFO, no DIR-12 is required as CFO is not a Director.

You cannot file DIR-12 for CFO as it asks for PAN and DIN — CFO usually doesn’t have DIN (unless they are a Director).

For same person acting as CFO and CS, file one MR-1 mentioning both roles, but no need to file DIR-12 unless that person is also a Director.
