Resubmission of e-form32

18 March 2011 Dear Experts,

I have recently received an e-mail from mca saying "Form 32 has been examined and marked as Sent for resubmission with the following remarks-
Two directors are appointment on 10-04-2001, board resolution copy to be submited AND TO BE SIGNED PHYSICALLY.
2.This form has been signed by a director in respect of whom Form 32 has been filed for cessation which is under processing."

Kindly guide how to resubmit the above form.

18 March 2011 Extract of board resolution appointing the two directors should be typed on a paper and it should be certified to be true by way of physical signature on that paper by a director other than a director who is retiring or being appointed. Than the scanned copy of above paper should be attached to the above Form 32.

Form 32 should be filed and signed by a director other than appointed or retired director.

Thanks a lot for your assistance.

Sir, Further to my question, whether filing fees is to be paid again for resubmission.

Also sir, presently there are two directors and only one director who has been appointed has digital signature. Can he digitally sign the e-form.
