It is not necessary that executive director should be WTD.

Yes, if remuneration increase is with in limit as per section 198 and 309 then no need to take CG approval.

If section 269 is not applicable to director then no need to file Form-25C.

I would further like to know if Sec 314 would be attracted & SR will be required if an Executive Director is to be appointed as a Project head or any other position?
