26 February 2013 Can anybody tell me that what should be the correct procedure for fresh issue of shares? Do I need to receive the money from issue of shares first or first I need to increase the authorised capital? when I need to alter the MOA and AOA and when I need to file Form 5. Do I also need to file Form 2 for allotment.

You can opt two option: Option: I

1. Take money for fresh issue
2. Increase authorised capital
3. File Form-5
4. Call Board Meeting for allotment
5. File Form-2
6. Issue Share Certificate
7. Make entry in concern register.

Option II:

1. Increase Authorised Capital
2. Take money for fresh issue
3. File Form-5
4. Call Board Meeting for allotment
5. File Form-2
6. Issue Share Certificate
7. Make entry in concern register.
