ABC Private Limited is an Indian company.

Foreign company acquired 95% shares in Indian company viz. ABC Private Limited.

Now ABC Private Limited, as a subsidiary company, has to file Annual Filing Forms.

Query

What are the requirements to be complied with by ABC Private Limited ?

In Form 23AC, should I fill only the following :

8. (a) YES
8. (d) ............. which is appropriate.
Whether Section 4(1)(a), Section 4(1)(b), Section 4(1)(c)

Is there any attachment relating to the Holding Company to be made for subsidiary company in Form 23AC ?

What are the requirements to be complied with by ABC Private Limited ?

Ans : As per Companies Act, 1956 you need to file routine annual accounts and annual return of the subsidiary company, like any other company.

However I think there may be some forms required to be submitted to RBI. Please check.

In Form 23AC, should I fill only the following :

8. (a) YES
8. (d) which is appropriate.
Whether Section 4(1)(a), Section 4(1)(b), Section 4(1)(c)

Ans : Section 4(1)(b)

Is there any attachment relating to the Holding Company to be made for subsidiary company in Form 23AC ?

Ans : No attachment relating to the holding company is required.
