08 July 2011 A private limited company has registered office at X place and its books of accounts are maintained at Y place. both X and y are in the same city. the company has not passed the special resolution for this thing. Please let me know the concequences for this non compliance.

08 July 2011 The books to be kept with the Registered Office. In case of any inspection from ROC if the violation is there you may be charged with penalty.

15 July 2011 No need to pass special resolution, board resolution is enough and intimate to ROC to that effect,,,,rest S.S. sir agrawal is right.
