28 April 2011 Now I am working in a Private Limited Company. Board of Directors changed their name in the last year. But their is a spelling mistake in the name which is not noticed by any of the Directors and Auditor. The same mistake was printed in MOA,AOA,Minutes and Form-23 also. what can I do inorder to Rectify this? Please advise me as early as possible. What time it will take?

09 May 2011 For a Name Change, you would have filed Form 1A, 1B, Form 23 etc. If the name has been misspelled in all forms and its has been approved, then you cannot make any such alterations to the existing name, on this context.

Further, Only way available is Pass a Board Resoln for name change of a company & pronounce the exact name in Form 1A.

Check the availability with ROC. Meantime Call for EGM in a Same Board Meeting.

Conduct the EGM & Pass Spl Resoln.

Then File Form 23 initially , then with SRN of Form 23, File Form 1B .. Once Form 1B is Approved, the name change becomes effective.

Rather No issues, if the desired name has been spelled correct in Form 1A & Form 1B.... but mistaken in Form 23,then dont care about filed form 23 and make
private alterations in MoA & AoA & whereever necessary.
