04 September 2012 Dear experts,

In a Private Company there are 3 directors say Mr A, Mr B & Mr C.
Now Mr. C wishes to resign from the office of the director. he tenders his resignation.

Board calls a meeting in which all of them are present to approve his resignation.

now my question is, while preparing minutes, should I write Mr C's (who has given a resignation letter) name below Directors present or below in attendance??
is it necessary to sign the attendance register to Mr C?

pls help in this regard

04 September 2012 Hi

No need to showing presence of resigned directors in attendee sheet and minutes.

04 September 2012 I mean is it required to grant leave of absence?

04 September 2012 Hi

No, at the time of Board meeting, only leave of absence is grated by Board who is director of the company, but at the time of meeting such person is resigned so no need to mentioned this in minutes.

U will only take the note of resignation of Mr.....director and nothing more.
