22 December 2010 Can the first board meeting of a pvt ltd company be held outside the registered office? If yes, then how the Common seal and other statutory records like register of members be adopted in the said meetings?

22 December 2010 Hi....

In my opinion the First Board Meeting should be held at the Registered Office of the Company.

However, there is no statutory restriction on holding the Board Meeting outside the Registered Office of the Company.

On the practical front movement for short span of time of Common seal and other statutory records like register of members etc for this first meeting is okay.

In case of common seal the first board meeting will give just authorization for keeping and maintaining of common seal and nothing else. You can Board Meeting any where.

22 December 2010 You can hold the first Board Meeting other than the registered office and adopt the common seal and in the same meeting the Board can decide as to where the common seal will be kept - whether at registered office or at some other place.

As regards statutory registers there is no need for adoption.
