once the company is incorporated, its Memorandum of Association AND Articles of Association enjoy the character of PUBLIC DOCUMENT. This is so because the office of the Registrar of Companies is a Public Office and thus the documents submitted thereby are subject to be available to public at large. Thus a person dealing with the Company is presumed to have the knowledge of the Memorandum of Association AND Articles of Association of that Company. This can be regarded as the Constructive Notice of Memorandum of Association AND Articles of Association.
The hardship if any caused due to doctrine of constructive notice is some what softened by the doctrine of indoor management
