I want to convert partnership into pvt limited but do not want it under part IX of Companies Act. So whether there wil be any stapm duty liability or not

To the best of my knowledge, conversion of partnership into private limited company is possible only under part IX. In case, there is any other mode of conversion, please do share with us.

dear sir, I can open Pvt ltd and transfer all the asset to that company. In any way I will satisfy the condition u/s 47(xiii) so will not be liable for capital gain on transfer. But the question arise for the stamp duty. If I go for part IX of C.A. 1956 I need not to pay stamp duty.
