Friends,

I have filed Form 1A on MCA Portal for Company name Approval. and it is approved by ROC. But I want to change the name of the Company. So what are the procedure to Change it.

File another new Form 1A and attach Board Resolution and file the same.

what we should mention in board resolution and we have to pay fees again?

“RESOLVED THAT pursuant to the provisions of section 21 and other applicable provisions of the Companies Act, 1956, the existing name of the company propose to be changed from ....... Limited to Limited or such other name as may be made available by the Registrar of Companies and agreed upon by the Board of Directors of the Company.

RESOLVED FURTHER THAT any director or company secretary of the Company be and is hereby authorized to make necessary application for obtaining approval to the Change of name accordingly to the Registrar of Companies, Delhi and Haryana, New Delhi and to do all such acts and things as may be deemed necessary in this regard.”

and yes u will pay again.

Actually my question is that name of the company is approved but we din't file any document for incorporation and want to change the name.
So even then there is requirement for resolution?
