22 August 2010 Query Related to Section 312 i.e. Prohibition on assignment of office :
Is assignment of office possible during the life time of director?

and please explain this section fully..

25 August 2010 No assignment during the life time of director is not possible.

However assignment of office through "will" is possible bcoz will is something which have to take effect after the death of director. It was decided in "Bhaskat Kashinath Thakoor Vs. Oriental Metal Pressing works Ltd."

26 August 2010 thanx sir, bt till nw there is some confusion. In munish bhandari book(P.No. 2),there is answer of Nov 1995 ques is given, where it is written over
1. tht assignment of office is possible only during the lifetime of director bt u said reveresed.
2. here in ques it is written tht X appointed, by will, G , ans given is tht no assignment of office,bt u said assignment of office through will is possible.
