I have a firm A ltd., and deal in X products but there is an other company who just manufactures in my name and under my guidance but their capital with their own formulas and all expenses are theirs and the products so manufactured are sold in my name but i am liable to give them 60% of profits to them should i be liable to deduct them tds and what can i account these expenses.. should i show as royalty

The joint venture Indian Company having following share holding pattern
75% hold by foreign company.
25% hold by Indian company.
now,the Indian 25% shareholder wish to tranfer its shares to 5 different share holders.
Please suggest in this circumstances what foreign company can do to protect its interest.
