Extraordinary general meetings

What are the points on which an EGM can be called for under the provisions of the Companies Act 1956?

A Private Limited is company, incorporated in India. B Private Limited is another company, incorporated in India. B Private Ltd has 100 acres of land in its books. There are no other assets or liabilites other than this land. A private Limited purchased the entire shares of B private Limited, with the only intention of acquiring the land. A private Limited has a project of constructing residential apartments in this land. The land will not be transferred to the Apartment owners. It will be on lease for a period of 99 years,. A private limited has entered into various agreements for developing and constructing of residential apartments. The land is still in the books of B Private Ltd. The development expenses are incurred by A Private Ltd, which is treated as project development expenses, in the books of A Private Limited.

Querry:
1. Whether the land will be shown as Fixed Assets or Stock in Trade, in the books of B Private Ltd

2. How the project expenses will be accounted in the books of A Private Limited, when the land is not in the books of A Private Limited

We are Private Limited Co. We had paid X amount to "A" as Director Salary/ Remm.who is not holding Shares of Co & nor as First Director in Memorandum of Association. In this Situation,
1.What Will be obligation of Compay toward ROC
2.Wheather "A" has to obtain the shares of Co. be Director.
3.Wheather Ordinary or Special Resolution need to be file with ROC.

I was registered to the Chartered Accountancy Course (Intermediate course) based on foundation examination. I have completed my Articleship(July 2001 to July 2004).
I have already exhausted five consecutive attempts after passing foundation examination. I appeared for PE-II exam in May 2008. But my result has been withheld for the reason that I have already exhausted five consecutive attempts after passing foundation examination.

Please confirm whether I am eligible to appear in Professional Competence Course ( Second group) or can I take up PEE-II exam itself in Nov 2008. I have already completed First group of PE-II held in May 2007.

In case I need to take PCE –second group itself, please let me know whether I need to undergo 100 Hours of Information technology training before taking up CA PCE-second group in Nov 2008. Since I have completed Articleship, I don’t think I have to register for articleship again. Since I am left with very less time for sending Exam application for Nov 2008 exam, kindly help me out in this regard at the earliest.

Tax Deducted at Source

a contractor hired machinery for his construction work.he treated this as a subcontract because machinery hired for the purpose of construction and dedut TDS @ 1%.is it possible..?

Tax on Withrawal of Provident Fund

Hi,

I was working with a company in India for 2 yrs 7 months. This was my first ever job. After this I moved to London,UK and joined a company here. Now I want to withdraw my PF from India. Will the pf I withdraw be taxed? If yes at what rate?

MONTHLY closure of books

Many subsidiary companies located in India close their books on monthly basis and report to parent company located outside India.


In this regard, please let me know how do they handle issues like, gratuity(based on actuarial valuation done by third party),auditors fees ,Foreign exchange loss on fixed assets,income tax provision etc, which are known only at the end of the year in their monthly accounts.

whether FBT is applicable or not

sir, if a company is paying exps. regading tours & travels for her employee on behalf of her principal .i.e company is paying exps as an agent that is reimbursed by principal then above exps. will come under the head of FBT in the books of company or not? here company's books means company who is working as an agent.
