We are Private Limited Co. We had paid X amount to "A" as Director Salary/ Remm.who is not holding Shares of Co & nor as First Director in Memorandum of Association. In this Situation,
1.What Will be obligation of Compay toward ROC
2.Wheather "A" has to obtain the shares of Co. be Director.
3.Wheather Ordinary or Special Resolution need to be file with ROC.

1. For appointment of Director, the Company shall file Form 32 with the ROC (please note that, for filing of Form 32 for appointment of Director, obtaining of Director Identification Number (DIN) is compulsory).
2. "A" need not acquire Shares of the Company unless specified by the Articles of Association for holding of qualification shares.
3. Appointment of director is ordinary resolution and certified copy of the resolution may be attached as optional attachment to Form 32.
