Dear Experts, is it compulsory for private company to file form 2 for allotment of shares? There is no allotment other than what mentioned in Memorandum of Association.

A private limited company has to increase its paid up capital to person other than the existing members. What are the requirements for such increase.

Whether the approval of existing members is also required for making allotments to new allotees.

I have applied for change in name by following the form 1A, 1B adn 23.

the ROC has demaded altered AOA and MOA.

But during the period 2 1st director out of 3 were resigned.

So please give me guidance about whether i should drop the clause of ist director as there are only 1 director who is continuing and other are resigned.


in short is it sufficient to change only name clause and not 1st director clause.

i have one query described as follow

while submitting the form 18 we have to attach the NOC from director in case premises is owned by director and a rent deed and address prof.
but if director don't have any address prof regarding that premises because he is not staying on that premises but somewhere else and had only registry on his name. then how what?

and on what denomination of stamp paper the rent deed, NOC is executed in punjab.
