01 May 2013 Can the name of a private ltd company which is run by 4 directors changed at the discretion of ONLY 2 directors?

A quick reply would be much appreciated.Thanks in anticipation.

02 May 2013 For change of name of the company approval of shareholders through special resolution u/s 21 would be required. So you can have a valid board meeting as far as quorum is concerned under section 287.
After approval by board call a general meeting where consent of shareholders would be obtained to change the name of the company.

I would make my question more specific...the situation is that 2 directors want a name change and the other 2 oppose any change in name.

So can the 2 directors in favor of name change succeed in doing so?

Consent of three directors out of four is must.

Further if majority of the Directors give their consent then a notice is to be given to all share holders for Extra Ordinary General Meeting.

13 June 2013 You have to apply for the new name also and then under go the procedure as suggested by the experts.

For closer of the company simple resolution signed by all the directors shall be sufficient. Your CA will do the rest.
