my question is abt a registered Parnership firm having 5 members as family partners sharing equal profit total amt standing to the cr of the firm capital is 225 lacs
turnover 70 crores
taken working capital limit frm SB 75 lacs
term loan 150 lacs o/s payable in 3 yrs
and secured by hypothication of book debt stcks and movable assets. the firm having manufc unit at Navi Mumbai in own premises as per last valuation the immovalbe properties carried out stamp value is Rs. 4.5 crore so my question is from the above its good to conver PF to Part IX Company or to incorporate new and take over the assets under Companies act IT Act Stamp Duty act

Is the Board Meeting convene on 31st March, 2013 or on 01.04.2013 for Reappointment of the MD?

What is the penalty, if Form 23 (within 30 days) and Form 25C (within 90 days)for reappointment will not file in time?

is it mandatory to place internal audit report in the board meeting if the same has been considered by the audit committee?

Minutes of such audit committee are duly placed in the board meeting for approval but again placing of internal audit report in front of all board members is a pre-requisite?

as per my understanding, though every board member has a right to knw the internal audit report but keeping it again defeats the purpose of forming audit committee for such matters. pls advice

We want to appoint Mr. X as an executive director of the co. He is son of Mr. Y M.D & Mrs. A director of the company. He will be drawing salary also. So plz guide me whether the appointment of Mr. X will attract Sec 314 or not???? or can we go with sec 260 & appoint him as additional director in BM??????? Plz help...

A public company was incorporated in Sept 2012 and got its cob n October 2012. Afterwards in the board meeting auditor was appointed for the financial yr 2012-13 and form 23B in respect of the same has been filed by the auditor.No statutory meeting has been held till now.
1. can the directors apply for extension for holding statutory meeting? if yes what is the procedure?
2. Directors (holding majority shares) want to remove the auditor whom they have previously appointed even for the financial yr 2012-13 on the ground of non conducting of statutory meeting and auditors outstation residence. They want a new auditor to sign the statutory report as well. Is this possible?
Kindly tell the best possible solution to cater this situation.
