17 June 2013 Dear Member,

The tenure of MD is upto 31st March, 2013.

Is the Board Meeting convene on 31st March, 2013 or on 01.04.2013 for Reappointment of the MD?

What is the penalty, if Form 23 (within 30 days) and Form 25C (within 90 days)for reappointment will not file in time?

Please guide me.

You will re appoint MD before the end of his/her tenure.

You will pay additional fee for ROC filing for Form-23 and Form-25C.

Is the Board Meeting held on 31st March, 2013 and Extraordinary General Meeting on 22nd April, 2013 for reappoint of MD will Do?

One more Quary:

Other two Director will re-appoint as WTD, then the resolution can pass in the same B.M. and EGM?

You can hold BM as on 31.03.2013 but it is not necessary to call general meeting for this purpose.
